Terms and Conditions

Introduction

Through the website https://ucrop.it/ and/or the mobile application «ucrop.it» (jointly referred to as the «Platform»), ucrop.it Corporation, domiciled at 16192, Coastal Highway, Lewes, Delaware 19958, County of Sussex, United States of America, and its controlling, controlled and directly and indirectly related companies (collectively referred to as «ucrop.it») offers crop traceability services to farmers with blockchain technology for record keeping, as well as other services related to agricultural production, placing special emphasis on sustainability so that farmers can tell their crop story and share it with different actors in the agricultural chain.

Types of Users

The Platform may be used by three (3) types of users:

Farmer: any person who cultivates land or crops and has entered into a separate agreement with ucrop.it providing for the right to register, access and use the Platform.
Customer: any person who is an ucrop.it customer with the right to access, in whole or in part, the data uploaded by the Farmers to which they have been granted access.
Reviewer: any third party hired by ucrop.it on an independent basis to monitor and audit the tasks carried out by the Farmers.

Farmers, Customers and Reviewers are jointly referred to as the «Users».

Acceptance — Prevalence

Users who wish to access and use the Platform shall accept these Terms and Conditions of Use («T&Cs») and the ucrop.it Privacy Policy («Policy») and register an account subject to these T&Cs, the Policy, and any additional agreements entered into separately between ucrop.it and the Users («Additional Agreements»).

In case of contradictions between these T&Cs and the Additional Agreements, the provisions of the Additional Agreements shall prevail.

Services

At present, Services are rendered exclusively to residents of the United States of America, the Argentine Republic, the Federative Republic of Brazil, the Republic of Paraguay and the Eastern Republic of Uruguay.

The Services allow:

Farmers to upload data associated with their crops and generate traceability
Customers to access all or certain data about Farmers and their crop information
Reviewers to upload results of monitoring and audit activities on tasks carried out by Farmers

Account Registration

To access and use the Platform, Users shall accept these T&Cs and the Policy and register as a User by creating an account («User Account»). Registration in the Platform is free of cost.

Every time the User wishes to enter the Platform, the system shall send a security code to the User’s email account. The User must also enter a four-digit numeric PIN, which acts as an electronic signature for affidavits. The PIN is strictly personal and non-transferable.

Blockchain Technology

The Platform offers traceability of Farmers’ crops through blockchain technology for record keeping. Documents are generated in PDF format, and a digital «key» is created using mathematical algorithms that uniquely identifies each document. This key is stored in the Open Timestamps blockchain, which in turn is written into the bitcoin blockchain, making it highly unlikely that stored data could be altered.

Under no circumstances shall ucrop.it be liable for eventual alterations, modifications or errors associated with the bitcoin blockchain technology.

Information Validation by ucrop.it

The Farmer enters data related to geo-referenced fields, number of plots, crops, hectares, planting plan, annual budget, and evidence records (the «Crop Story»). Prior to the creation of the Crop Story, the Farmer may enter into License Agreements with ucrop.it and, in consideration thereof, may be eligible to obtain certain commercial benefits.

Commercial Benefits

To the extent that Farmers comply with all requirements set forth in these T&Cs and in the Additional Agreements, they shall have access to certain commercial benefits as agreed between the Farmers and ucrop.it.

Use of the Application

Users agree to use the Platform in accordance with applicable laws, these T&Cs, the Policy, and good practices. Users shall refrain from uploading contents that:

Are considered illegal under national, provincial, municipal or international regulations
Offend the fundamental rights of human beings
Show or attempt to show false data about the fields and crop processes

Licenses and Software Download

The contents of the Platform screens, as well as any software, databases, networks and files that allow access to the User Account, are the exclusive property of ucrop.it and are protected by applicable laws and international treaties on copyright, trademarks, patents, models and industrial designs. The improper use and whole or partial reproduction of said contents is prohibited without the express written authorization of ucrop.it.

Amendments

ucrop.it reserves the right to amend these T&Cs from time to time. Amendments shall be published in the Platform in a visible place and sent to the email addresses reported by Users. Use of the Service after publication of the updated version shall imply conformity with said amendments.

Conduct Regarding the Services

ucrop.it reserves the right to refuse to provide the Services to any individual or legal entity and/or to interrupt the Services at any time. The following uses are expressly prohibited:

Unauthorized advertising, spam mail, chain letters, lottery or gambling
Use of computer viruses or malicious code designed to damage or limit the operation of any software or hardware
Impersonation of identities or interference with the Services, servers or networks
Use of automated scripts to collect information or interact with ucrop.it and other Users
Entry of false documentation or false data in the Platform
Unauthorized access to non-public areas of the Platform
Attempts to test the vulnerability of any ucrop.it system or network or to violate any security measure
Infringement of trademark and/or intellectual property rights of ucrop.it
Making statements or providing false information about the identity of the User
Using Platform contents to compete directly or indirectly with ucrop.it’s services

Assignment of Image Rights

Where the User inserts an image in their account profile, the User grants ucrop.it the free, non-exclusive and worldwide right to use such image for publication in the Platform.

No Guarantees and Liability

ucrop.it does not undertake any liability regarding the Platform beyond what is specified in these T&Cs, the Policy and the Additional Agreements. ucrop.it shall not be liable for any kind of loss caused by false or inaccurate information entered in the Platform by Users, alterations associated with the bitcoin blockchain technology, or the use of the User’s information by other Users.

The Platform and the Services are made available to Users «AS-IS» and without warranty of any kind.

Personal Data Protection

The collection, processing and storage of any personal data belonging to Users shall be governed by the provisions of the Privacy Policy.

Complaints

In the event that any User detects a violation of these T&Cs or has any query or claim, they may contact ucrop.it by email at hello@ucrop.it, providing proof of identity.

Applicable Law and Jurisdiction

These T&Cs are governed by the laws of the State of Delaware, United States of America. For any controversy or conflict, ucrop.it and the Users submit to the exclusive jurisdiction of the federal and state courts of the State of Delaware, United States of America.

The User acknowledges to have read, understood and accepted in all its terms all the conditions established in these T&Cs, the Privacy Policy and the Additional Agreements, as well as in the other documents incorporated therein by reference, prior to their registration in the Platform.
