- INTRODUCTION
Through the website https://ucrop.it/ and/or the mobile application “ucrop.it” (jointly referred to as the “Platform“), ucrop.it LLC, domiciled at 16192, Coastal Highway, Lewes, Delaware 19958, County of Sussex, United States of America, and its controlling, controlled and directly and indirectly related companies that enter into Additional Agreements with the Users -as said terms are defined below- (ucrop.it LLC. and said companies jointly referred to as “ucrop.it“), if applicable, offers crop traceability services to farmers with blockchain technology for record keeping, as well as other services related to the agricultural production, placing special emphasis on sustainability so that farmers can tell their crop story and share it with different actors in the agricultural chain and eventually, subject to compliance with certain obligations, be awarded with certain commercial benefits.
- TYPES OF USERS
The Platform may be used by three (3) types of users, namely: (i) “Farmer“: any person who cultivates land or crops who in certain cases has entered into a separate agreement with ucrop.it providing for the right to register, access and use the Platform to load information related to geo-referenced fields and to the production of crops, among others; (ii) “Customer“: any person who is an ucrop.it customer who in certain cases has entered into a separate agreement with ucrop.it providing for the right to register, access and use the Platform in order to access, in whole or in part, the data uploaded by the Farmers in the Platform and to which the Farmers have previously granted access, as the case may be; and (iii) “Reviewer“: any third party who has been hired on an independent basis by ucrop.it, to monitor and audit, in certain cases and always with access granted by the Farmers, the tasks carried out by the Farmers in order to verify that the Farmers comply with the obligations undertaken with ucrop.it and, eventually, the Customers who access all or certain data uploaded by the Farmers to the Platform, as the case may be (hereinafter, Farmers, Customers and Reviewers are jointly referred to as the “Users“).
- ACCEPTANCE. PREVALENCE
Users who wish to access and use the Platform either as Farmer, Customer or Reviewer shall accept these Terms and Conditions of Use (“T&Cs“) and the “ucrop.it” Privacy Policy (“Policy“) and register an account subject to these T&Cs, the Policy, and certain additional agreements entered into or to be eventually entered into separately between ucrop.it and the Users, such as the License Agreements -as said term is defined below- (the “Additional Agreements“). These T&Cs apply to each and every one of the services and matters that are detailed herein. Therefore, those services and matters that are not expressly detailed in these T&Cs shall be governed by the Additional Agreements.
In order to accept these T&Cs, Users must analyze them in their entirety and click on the “I agree” button at the end of these T&Cs. If you do not accept these T&Cs then you are not authorized to use the Services described below.
In case of contradictions, conflicts or inconsistencies between the provisions of these T&Cs and the Additional Agreements, only with respect to said contradictions, conflicts or inconsistencies, the provisions of the Additional Agreements shall prevail.
The Users: (i) shall comply with and respect at all times these T&Cs, the Policy and, if applicable, the Additional Agreements; and (ii) shall acknowledge that failure to comply with these T&Cs, the Policy or the Additional Contracts could result in the violation of the rights of ucrop.it and/or its directly or indirectly related companies, and/or shareholders and/or officers and/or employees thereof, and/or any third parties and, thereupon, shall lead to: (a) application of sanctions as prescribed by the applicable laws; and/or (b) claim for the damages sustained by ucrop.it and/or its directly or indirectly related companies, and/or shareholders and/or officers and/or employees thereof, and/or any third parties.
These T&Cs are independent of any other agreement entered into or to be entered into between the Users, and mainly refer to the access and use of the Platform by the Users. ucrop.it cannot control compliance with the agreements entered into or to be entered into between any of the Users, in particular, with regard but not limited to their content, accuracy, enforceability and the obligations of the parties. Consequently, the Users hereby expressly hold ucrop.it and its directly or indirectly related companies, and shareholders, officers and employees thereof, harmless from any liability related to the agreements entered into or to be entered into between any of the Users.
- SERVICES
At present, the Services (as said term is defined below) are rendered exclusively to residents of the United States of America, the Argentine Republic, the Federative Republic of Brazil, the Republic of Paraguay and the Eastern Republic of Uruguay. This scope may be modified by ucrop.it from time to time under Section 11.
The Services that ucrop.it provides through the Platform allow (i) Farmers to enter the Platform and upload the data associated with their crops and generate traceability resulting from the registration of data regarding crop cycles, (ii) Customers to whom Farmers have previously granted access, to access all or certain data about the Farmers as well as the information uploaded by them to the Platform, as the case may be, and to learn with certainty about the progress of the crops and processes of production, through the Platform, and (iii) Reviewers to which Farmers have previously granted access, to enter the Platform and upload the results of any monitoring and audit activities on the tasks carried out by the Farmers, in order to verify that they comply with the obligations undertaken with ucrop.it and, eventually, with the Customers who access all or part of the aforementioned data uploaded by the Farmers to the Platform (the “Services“).
To provide the Services, ucrop.it relies on affidavits executed by the Farmers themselves and data provided by them or their collaborators, reports of activities carried out in the fields, tax receipts that the Farmers or their collaborators share, satellite images and geo-located photos, among others. In order to provide Users with veracity about what is registered in the Platform, ucrop.it uses the blockchain technology, in accordance with the provisions of Section 6. These T&Cs and the Additional Agreements apply to the Services offered by ucrop.it and in no way do they supersede or amend the special or specific conditions of the agreements entered into or to be eventually entered into between any of the Users.
At present, the Services are available to individuals and legal entities who: (i) reside or have offices, as the case may be, in the United States of America, the Argentine Republic, the Federative Republic of Brazil, the Republic of Paraguay or the Eastern Republic of Uruguay, and with regard to capable individuals (i.e., with sufficient capacity), are over eighteen (18) years old; (ii) have an email address and provide ucrop.it with all the data requested through the Platform; and (iii) accept these T&Cs and the Policy and, when ucrop.it so provides, enter into Additional Agreements or other documents that ucrop.it may determine from time to time in good faith.
People who do not meet the above requirements and Users who are temporarily suspended or permanently disabled by ucrop.it shall not be eligible to use the Services.
- ACCOUNT REGISTRATION
To access and use the Platform, Users shall accept these T&Cs and the Policy and register as a User by creating an account (“User Account“) and, when ucrop.it so provides, enter into the Additional Agreements.
Users shall register directly through the Platform (which can be downloaded to mobile phones through Google Play or the Apple App Store). Registration in the Platform is free of cost for Users and shall grant them access to the Services.
The registration shall be done through the form available in the Platform, and the following information shall be provided: (i) full name or company name, as appropriate; (ii) email address; (iii) contact landline or mobile phone number; (iv) country of residence or legal place of business, as appropriate; (v) national identity card, social assistance number, unique labor identification code, tax identification code or equivalent documents or codes used in the countries in which the Users reside, as appropriate; (vi) supporting documents proving the authority and/or representation invoked, if applicable; and (vii) supporting documents of the provided information which may be requested by ucrop.it from time to time.
Every time the User wishes to enter the Platform, the system shall send a security code to the User’s email account, in order to verify that the person accessing the Platform is the one who has access to said email account.
Likewise, once the email is verified, the User must enter a four-digit numeric code or PIN, which shall be used when preparing an affidavit (“PIN“). The PIN may be modified at any time by the User. The PIN is strictly personal and non-transferable. The User undertakes not to disclose the PIN to third parties and acknowledges full liability for the consequences derived from its use.
The User shall be liable for the use of the data and information provided at registration in the Platform, and ucrop.it shall not be liable for such data and information. ucrop.it shall create User Accounts based on the personal data that the Users provide. Therefore, the User undertakes to provide accurate, updated and complete data during the registration process, and to update said information to keep it accurate, updated and complete at all times. ucrop.it reserves the right to suspend or delete the User Account and disable the User’s access to the Platform if the data provided during the registration process -or later- turns out to be inaccurate, outdated or incomplete.
The User shall notify ucrop.it immediately and by reliable means of any (i) unauthorized use of the PIN; (ii) unauthorized access to the Platform; and (iii) use of the User Account by third parties not authorized by the User. The User may add, delete and edit the information of the User Account at any time, through the Platform.
ucrop.it reserves the right to reject any application for registration, as well as to cancel a previously accepted registration, without granting the User the right to bring out-of-court, administrative or court actions.
- BLOCKCHAIN TECHNOLOGY
The Platform offers traceability of Farmers’ crops through blockchain technology for record keeping.
The Platform generates documents in PDF format containing the records of affidavits and field evidence together with the signature of the designated parties in each case. Then, by applying mathematical algorithms to these documents, a digital “key” is generated that uniquely identifies the referred documents, allowing that, based on that “key”, it is possible to know if the document to be identified is such a document, and not any other. The “key” of the document is always the same, therefore, if the document were to undergo changes, the same algorithm is going to generate a totally different “key”.
In turn, the aforementioned “key” is stored in the blockchain named Open Timestamps, designed to keep track over time of millions of transactions with very low electricity consumption. The blockchain gathers thousands of transactions generating periodic records that are then, as an additional security measure, written as a single transaction in the bitcoin blockchain, making it highly unlikely -in practical terms- that the stored data could be altered. Together with the “key”, the date and time of creation of the record are saved in the blockchain.
As the User holds the original document, the Platform allows the User to validate the date, time and authenticity of the document with the writing in the blockchain. Under no circumstances shall ucrop.it be liable for eventual alterations, modifications or errors associated with the bitcoin blockchain technology, which is expressly accepted by the Users.
- INFORMATION VALIDATION BY UCROP.IT
When using the Platform, the Farmer shall enter data related to geo-referenced fields, number of plots, crops, number of hectares, planting plan, annual budget, evidence record and information related to the succession of cultivation activities, among others (the “Crop Story“). The entry of data in the Crop Story requires that the Farmer or the collaborators enter the specific PIN, which acts as an electronic signature, to certify said data.
Prior to the creation of the Crop Story, the Farmer may have to enter into with ucrop.it the license agreement(s) in which they wish to take part and, in consideration thereof, the Farmer may, subject to compliance with certain obligations, be eligible to obtain certain commercial benefits, as the case and the type of crop may be (“License Agreements“).
By entering into License Agreements, the Farmer, as the case may be, shall choose to provide to the Customers and/or Reviewers visibility of the evolution of crop cycles, resulting digital information, control dashboards, crop progress reports, registration evidence, among other data loaded in the Platform. The Farmer is not obliged to share its information with third parties and, thus, may -in some cases- enter into License Agreements without the obligation to share its Crop Story.
The Farmer acknowledges and accepts that while its Platform account is active, all the data uploaded and provided to be uploaded to the Platform may be accessed at any time and validated by the Platform and by ucrop.it’s designees. Similarly, the Farmer acknowledges that, after due coordination, ucrop.it staff and/or any third parties hired by it (for example, the Reviewers), may visit the Farmer’s field and/or facilities to verify the validity of the information entered by the Farmer in the Platform, as the case may be.
- COMMERCIAL BENEFITS
By virtue of the use of the Platform, and to the extent that the Farmers comply with all the requirements set forth in these T&Cs and in the Additional Agreements, the Farmers shall have access to certain commercial benefits, as the case may be, proposed by ucrop.it, as agreed or to be agreed between the Farmers and ucrop.it under said Additional Agreements.
- USE OF THE APPLICATION
Users agree to use the Platform and its contents in accordance with the applicable laws, these T&Cs, the Policy (and subsequent amendments to said documents), the Additional Agreements, if any, and the good practices and generally accepted uses and standards regarding the Internet. The unauthorized use of the Platform or of the aforementioned contents may entail a violation of the legislation on intellectual or industrial property or of any other applicable laws, and give rise to the right to bring out-of-court, administrative or court actions. In the event that the User uploads images or other types of files to the Platform, they shall be solely responsible for ensuring that they do not infringe any copyright or similar protection. The User shall be solely liable for their data and for the data uploaded by the User to the Platform, and for the data provided by the User to be uploaded to the Platform.
ucrop.it reserves the right to withdraw from the Platform those contents that it considers inappropriate, considering their characteristics and purposes. Users shall refrain from uploading contents that may impair the quality of the Services and, especially, including, but not limited to, contents that:
- Are considered illegal under national, provincial, municipal or international regulations;
- Offend the fundamental rights of human beings (especially contents not appropriate for minors); or
- Show or attempt to show false data about the fields and crop processes.
- LICENSES AND SOFTWARE DOWNLOAD
The contents of the Platform screens, as well as any software, databases, networks and files that allow the User to access and use their User Account, are the exclusive property of ucrop.it or its directly or indirectly related companies, and are protected or could be protected by applicable laws and international treaties on copyright, trademarks, patents, models and industrial designs. The improper use and the whole or partial reproduction of said contents is prohibited, except with the express and written authorization of ucrop.it.
Notwithstanding the foregoing, ucrop.it may grant Users personal, non-exclusive, non-transferable, non-sublicensable, revocable licenses, either free or paid, or limited to certain territories, to use or download the Platform and associated software exclusively for private use and only in accordance with the conditions of the Services and the instructions that, if applicable, it may provide together with the Platform and associated software. The contents of the Services are protected by the regulations on the protection of personal data, trademarks and other regulations including, but not limited to laws governing industrial and intellectual property. The owners of the data associated with the Platform and/or the Services, including data uploaded by the Farmers and/or other Users to the Platform are ucrop.it or its directly or indirectly related companies. The User may not modify, copy, reproduce, republish, upload, transmit or distribute in any way the data associated with the Platform and/or the Services and/or other Users, including, but not limited to, texts, videos, figures, codes and software, except with the prior written consent of their owners. The User shall refrain from using data mining instruments to collect or copy any content or data associated to the Platform and/or the Services and/or other Users to the Platform in a way not authorized by ucrop.it. Likewise, the User shall refrain from using framing techniques, or using meta tags or any other “hidden text” using, by way of example, the name, brand, logos and isologos of ucrop.it or directly or indirectly related companies, without its prior written authorization.
- AMENDMENTS
ucrop.it reserves the right to amend and/or update from time to time, in whole or in part, these T&Cs, so Users should review them regularly. However, said amendment shall be published in the Platform in a visible place and by sending the updated version of the T&Cs to the email addresses reported by the Users when creating or updating their User Account. Thus, the use of the Service after the date of publication and communication of the updated version of the T&Cs shall imply conformity of the Users to said amendments. In this sense, the User acknowledges that the amendments shall be mandatory and come into force as of their publication in the Platform and communication through the aforementioned emails. In this way, the User agrees to always review the most recent version of the T&Cs. If the User fails to agree with the aforementioned update, they should not use the Platform or the Services, and their User Account shall be deleted. Notwithstanding the foregoing, Users shall expressly accept the new version of these T&Cs when required by virtue of the provisions of the applicable regulations.
Likewise, the features and functionalities of the Platform are subject to amendments. Similarly, ucrop.it may incorporate new functionalities in the Platform without the need for any consent or agreement from the Users. ucrop.it shall make its best efforts to preserve the good state of use of the Platform and its functionalities, but in no way guarantees the Users the functionality of the Platform under certain conditions of access and speed. ucrop.it does not guarantee perpetual and unrestricted access to the data and/or contents of any kind published in the Platform, since on certain occasions such access does not necessarily depend on ucrop.it, and it shall not be liable for damages caused by any means to Users while accessing, browsing and/or using the Platform in any way.
Any data, including but not limited to data regarding the Services and the process for verification of information entered by the Farmer in the Platform, is subject to the amendments that ucrop.it in its sole discretion may determine, which shall be considered notified once the information published in the Platform is amended and the amendment is notified to the email addresses reported by the Users when creating their User Account or when updating the same. Notwithstanding the foregoing, Users shall acknowledge said amendments when required by virtue of the provisions of the applicable regulations. At all events, the aforementioned data, for example, regarding the Services and the process for verification of information entered by the Farmer, can be requested by email to hello@ucrop.it.
- CONDUCT REGARDING THE SERVICES
ucrop.it reserves the right to refuse to provide the Services to any individual or legal entity and/or to interrupt the Services in whole or in part at any time, with or without notice. The use of the Services is subject to all applicable regulations and the User shall be solely liable for the contents of their communications through the Platform. The User agrees not to download, share, send or distribute in any other way contents or applications in violation of in-force legislation or that may infringe any right of any party, recognizing in particular as prohibited uses the following:
- Actions that constitute unauthorized or unsolicited advertising, including spam mail, chain letters, lottery or gambling;
- The use of computer viruses or any other code, file or program that is designed or intended to interrupt, damage or limit the operation of any software, hardware or telecommunications equipment, or damage or obtain unauthorized access to the data or other information of any third party;
- Impersonate identities, interfere with or interrupt the Services, servers or networks connected to the Services, or breach the requirements, procedures, policies or regulations of networks connected to the Services;
- Use automated scripts to collect information or interact with ucrop.it and other Users;
- Enter false documentation or false data in the Platform, related to crops and of any other nature;
- Use the data of the Users for uses not allowed or not related to the Platform;
- Systematically retrieve data or other content of the Users or available in the Platform, to create, either directly or indirectly, in individual or multiple downloads, a collection of data, either manually or through bots, trackers or the like;
- Access, manipulate or use non-public areas of the Platform or the computer systems of ucrop.it or its suppliers;
- Attempt to test the vulnerability of any ucrop.it system or network or to violate any security or authentication measure;
- Falsify or alter any TCP/IP header or other ucrop.it information;
- Attempt to decrypt, decompile, or disassemble the ucrop.it software;
- Infringe trademark and/or intellectual and industrial property rights of ucrop.it and/or of its directly and indirectly related companies, and shareholders and/or officers and/or employees thereof, and/or of other Users and/or third parties including, but not limited to, brands, images, sounds, drawings and/or any other type of artistic or intellectual expression protected by copyright or, in general, by industrial or intellectual property rights;
- Make statements or provide false information about the identity of the User that could mislead ucrop.it, other Users or third parties;
- Use automatic devices or manual processes to monitor or copy the contents of the Platform or the data contained therein, without the prior written consent of ucrop.it;
- Use the contents available in the Platform to allocate them to a service that directly or indirectly competes with the Services provided by ucrop.it and its directly or indirectly related companies, or that in any other way violates the rights of ucrop.it, the aforementioned companies, its shareholders, officers, dependents, third parties or other Users;
- Collaborate with a third party or induce them to carry out any of the conduct described above.
ucrop.it reserves the right to sanction Users for eventual violations of these T&Cs, the Policy, the Additional Agreements, the applicable laws, and good practices and customs and/or rights of third parties. ucrop.it may temporarily suspend or permanently disable breaching Users from accessing the Platform, and bring any pertinent claim for damages available under this Agreement or at law. ucrop.it shall not be liable for the damages that the eventual suspension or disqualification could cause to the User, and reserves the right to bring actions for the damages that such violation generates.
ucrop.it reserves the right to investigate and report any of the aforementioned conduct in accordance with the applicable laws, as well as to collaborate with the authorities in the investigation of said actions, in which case it may also temporarily suspend or permanently disable access to the Platform under the terms detailed in these T&Cs, without entitling the User to claim any compensation.
The User acknowledges that ucrop.it has no obligation to control the User’s access or use of the Platform or to review or edit the User’s profile, without prejudice to ucrop.it having the right to do so in order to operate the Platform and ensure compliance with, among others, these T&Cs, the Policy, the Additional Agreements, and the applicable legislation and administrative, police or court orders. ucrop.it reserves the right to deny or disable access to any content, at any time and without prior notice, if it considers that it may violate the T&Cs, the Policy, the Additional Agreements, and/or damage the Platform, notwithstanding that it generally refrains from editing the profiles or published content. ucrop.it shall not be liable for any delay or failure in the deletion of such content. The User hereby consents to said deletion and waives any claim against ucrop.it derived from it. Some functionalities of the Services may not be available to all Users and their collaborators.
- ASSIGNMENT OF IMAGE RIGHTS
In the Platform, the User may be able to insert an image in the account profile. In this case, the User grants to its full extent unto ucrop.it the free, non-exclusive and worldwide right to use the image for publication in the Platform. Likewise, the User grants to its full extent unto ucrop.it the free, non-exclusive and worldwide authorization to use the image of the User in the way ucrop.it may deem appropriate, either wholly or partly and in conjunction or not with one or more of the trademarks, trade names, legends, logos, images or other rights owned or used by ucrop.it, without entailing any right to claim compensation or damages for the Users.
- PROMOTIONAL ACTIVITIES
Users agree that ucrop.it may ask them to provide active support in promotional activities in which they are asked to comment on their experience with the Platform, in different systems and communication media, such as, and without limitation, radio, graphic, multimedia, social networks, press activities, launches, presentations and meetings. However, Users are not obliged to do so, unless they agree otherwise with ucrop.it in the Additional Agreements. At all events, Users acknowledge that said participation shall not grant them the right to receive any type of consideration from ucrop.it.
- LINKS
The Platform may contain links to other third-party websites or applications. The User acknowledges that ucrop.it shall not be liable for the availability and contents of such sites and applications and that the use of the aforementioned websites and applications shall not be governed by these T&Cs, the Policy or the Additional Agreements. ucrop.it shall not be liable for the acts or omissions of those who are responsible for or operate said websites or applications, nor for the contents, materials, actions and/or services provided through them, nor for damages or losses directly or indirectly resulting from their use. Consequently, Users are advised to review the conditions of use and privacy policies that govern the use of said websites and applications. The inclusion of links to other websites or applications shall not be construed as a partnership, relationship, approval, endorsement, guarantee or support by ucrop.it of said sites, applications and their contents.
- COOKIES
The User accepts that the Platform and the advertisements of the Platform, among others, may use “cookies” and/or other similar technology (for example, “web beacons”) to facilitate the use of the Platform by the User. Through this technology, ucrop.it shall be able, among other things, to know the geographical location and behavior of Users, quantify the effectiveness of advertisements, analyze trends and administer the Platform. The User may deactivate the “cookies” and “web beacons”, although this depends on the device and software used by the User. At all events, it is understood that it is possible that by deactivating said technologies, the User shall not be able to use and enjoy all the functionalities offered by the Platform.
- NO GUARANTEES AND LIABILITY
ucrop.it does not undertake any liability regarding the Platform beyond what is specified in these T&Cs, the Policy and the Additional Agreements, if any. ucrop.it shall not be liable for any kind of loss caused by, including but not limited to, false or inaccurate information entered in the Platform by Users, alterations, modifications or errors associated with the bitcoin blockchain technology, the use of the User’s information by other Users; and any other loss (either bodily harm, suffering or property damage) that the Users or any third party may sustain as a result of the relationship between the Users. The User who uploads content that infringes any in-force national, provincial, municipal or international legislation shall be liable for the damages derived from such infringement, exempting ucrop.it from any liability.
ucrop.it does not grant any guarantee nor undertakes any liability, in any case, for damages of any kind that may arise from accessing or using the Services and the Platform, and the contents thereof. Among others, ucrop.it expressly disclaims responsibility for the following circumstances:
- Lack of availability, maintenance and effective operation of the Platform or the Services, disclaiming, to the maximum extent permitted by an in-force legislation, any liability for damages of any kind that may be due to the lack of availability or continuity of the operation of the Platform and the Services enabled in it;
- Lack of effectiveness of the Platform for any activity;
- The contents of other Internet pages or applications to which the links available in the Platform may be directed;
- Existence of viruses, malicious or harmful programs in the Platform; and
- Illegal, negligent or fraudulent use or use contrary to these T&Cs, the Policy and the Additional Agreements, if any.
ucrop.it excludes and expressly disclaims any and all liability to Users for damages of any kind, including lost profits, caused by, or derived from, the Services and the use of the Platform. The User shall be liable for and hereby agrees to indemnify and hold ucrop.it harmless from damages of any kind that ucrop.it may sustain as a result of the breach of any of the obligations borne by the User under these T&Cs, the Policy and the Additional Agreements, if any.
ucrop.it shall not be liable for the eventual consequences of any kind resulting from failures in the system, the server or the Internet that may arise from the access or use of the Platform and the Services. Likewise, the use of the Platform and the Services shall be at the sole risk of the Users. The Platform and the Services are made available to Users “AS-IS” and without warranty of any kind. ucrop.it shall not be liable for any damage to the computer equipment or mobile phone or other equipment of the Users, or for any virus that could infect them as a result of the use of the Platform or the total or partial transfer of data to the equipment of the users. ucrop.it does not guarantee continued or uninterrupted access and use of the Platform and the Services. The system may eventually be unavailable due to technical difficulties or Internet failures. In such cases, efforts shall be made to reestablish the Platform and the Services as quickly as possible, without thereby claiming responsibility for ucrop.it, which shall not be responsible for, among others, any errors, omissions, interruptions, deletions, defects, operational delays or transmissions, communications line failures, theft, destruction, unauthorized access or alteration of access to the Platform and the use of the Services.
ucrop.it shall not be liable for any error or involuntary omission with respect to the information and/or images, among others, published in the Platform, and ucrop.it reserves the right to modify them.

The User acknowledges the full validity of the notices sent to ucrop.it or received from it through the Platform or by email. The User acknowledges that said notices online or via email have the same validity as a written communication.
These T&Cs, together with the Policy, the Additional Agreements, if any, and any other governing documents constitute the entire agreement between the User and ucrop.it regarding the use of the Platform and the Services. Before accepting these T&Cs, the User has taken full knowledge of them, has read them carefully and has obtained a savable and printable copy thereof.
The User hereby consents to any assignment by ucrop.it of the rights resulting from the contractual relationship that ucrop.it has established with the User, without this implying any amendment of the obligations undertaken by the User.
- SEVERABILITY
In case any provision in these T&Cs is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby
- COMPLAINTS
In the event that any User detects a violation of these T&Cs or the Policy or has any other query or claim, the User may make such a report or claim by email to hello@ucrop.it, providing proof of his/her identity (e.g., ID).
- APPLICABLE LAW AND JURISDICTION
These T&Cs are governed by the laws of the State of Delaware, United States of America. For any controversy or conflict including but not limited to conflicts related to the existence, interpretation, validity, execution, compliance or termination of these T&Cs, ucrop.it and the Users submit to the exclusive jurisdiction of the federal and state courts of the State of Delaware, United States of America.
- CONSENT
The User acknowledges to have read, understood and accepted in all its terms all the conditions established in these T&Cs, the Policy and the Additional Agreements, if any, as well as in the other documents incorporated therein by reference, prior to their registration in the Platform.
Unreserved acceptance of the T&Cs, the Policy and the Additional Agreements, if any, is an essential and necessary condition to navigate and use the Platform and the Services. The use of the Platform implies the express, full and unreserved acceptance of the provisions set out in these T&Cs, the Policy and the Additional Agreements, if any. Consequently, anyone who fails to accept these T&Cs, the Policy and, if applicable, the Additional Agreements, which are mandatory and binding, shall refrain from browsing, and using the Platform and the Services. The User and ucrop.it acknowledge and accept that these T&Cs and the relationship arising therefrom shall be governed by the principles of good faith and the duty of collaboration between the parties. Consequently, the User and ucrop.it shall interact in the Platform and execute their relationship on the basis of said principles.
In order to access and use the Platform and the Services, Users must click on “I agree” at the end of these T&Cs, the Policy and, if applicable, the Additional Agreements.
